Affiliate Agreement Clauses: Provision and Use of Company-Provided Supervised Devices
Your Playbook for Using GuardianLock Devices (Affiliate Edition!)
Hey there! This part of our agreement talks about a special device we might send you (like an iPhone, iPad, or MacBook) to help you use our services and do your awesome marketing and sales work with us as an Affiliate. Think of this as a simple guide to how we share and manage that device.
Your Gig: Marketing & Sales Superpowers!
What You're Here For: You're joining us to be a user of our services as a marketing and sales powerhouse! That means things like:
- Showing off our products/services in cool ways.
- Finding and chatting with your friend, family and your extended network about GuardianLock.
- Helping folks signup smoothly, and enjoying your commissions that come from sales!
- Giving us feedback and helping us to make the services and experiences even better.
- Being a fantastic representative of our brand!
Tools for Your Trade: To rock these roles, you'll need access to some of our special tools, info, and systems. That's why we might give you one of our company devices as part of the gig.
1. That Device We Might Give You (It's Ours, But You Get To Use It!)
1.1. Getting You Set Up: Sometimes, to help you do your marketing and sales magic (like using our customer tracking system, sales apps, marketing materials, or secure chat), we might lend you one of our Apple devices. We call these "Company Devices."
1.2. Who Owns It? We Do! Just so we're super clear: this device, and everything on it (the hardware, the software, our ideas), is 100% owned by us, the Company. You're getting to use it, but you don't own it. You can't claim it as yours, ever.
2. Playing Nice with the Device (Your Responsibilities!)
2.1. Keep It Clean! This device is for your safeguarded use and support with marketing work with us. If you're not here to use a safeguarded device, please feel free to cancel and find a solution elsewhere.
2.2. Treat It Like Gold (or BTC): Please take good care of the device! You're responsible for keeping it safe. If it gets damaged, lost, or stolen because you weren't careful or did something you shouldn't have, you might be on the hook for it. If anything happens to it – broken, lost, or stolen – tell us RIGHT AWAY!
2.3. Hands Off the Inner Workings! No tinkering! Please don't try to change how the device works, "jailbreak" it, remove our management settings, or mess with its software. Also, don't install any apps or programs unless we've specifically told you it's okay.
2.4. Keep It Locked Down: You agree to use all the security features we set up on the device. That means a strong password or using Face ID/Touch ID. If you ever notice anything weird or unauthorized happening with the device, let us know immediately!
3. How We Manage the Device (Yes, We're Supervising!)
3.1. We're the Boss of This Device: Just so you know, this Company Device is "supervised" by us using Apple's tools (Apple Business Manager and our device management system). This gives us a lot of control over it.
3.2. What We Can Do: Because we manage the device, you agree that we can:
- Set up rules for security and how you use it.
- Add, update, or remove apps and software remotely.
- See, check, and analyze all the work-related info, messages, and activities on the device.
- Remotely lock or wipe the device (meaning erase all its data) if it's lost, stolen, or if we need to end our agreement.
- Collect info about how the device is used and where it is (for business, security, and troubleshooting).
3.3. Work Stuff Isn't Private (Sorry!): Because this is our company device and we manage it, you should know that there's no expectation of privacy for anything you do, store, or send on it, especially when it comes to your marketing, sales, and customer work. All the data on this device (even if you accidentally put personal stuff on it) can be accessed, monitored, and kept by us for business, legal, or security reasons.
3.4. Keep Secrets Safe: Any confidential Company info you get or work with on this device needs to be protected, just like we talk about in the confidentiality part of our main agreement.
4. When It's Time to Say Goodbye to the Device
4.1. Hand It Back: When our agreement ends for any reason, or if we just ask for it back, you need to stop using the device right away and send it back to us. Please make sure it's in good working order (normal wear and tear is fine, of course!).
4.2. We'll Wipe It Clean: Once we get the device back, we'll probably erase all the data on it to protect our company info and get it ready for its next adventure. If you've stored any personal stuff on it (even if we said it was okay), it's your job to back that up before you send it back!
5. Just to Be Clear: You're a Contractor, Not an Employee!
5.1. Your Independent Status: Giving you this device absolutely does not mean you're an employee, partner, or anything other than an independent contractor, which we've spelled out in our main agreement. You're still responsible for your own taxes, benefits, and everything else that comes with being your own boss!
Other Important Bits and Bobs:
6. What Words Mean: We've tried to be clear, but if there's any confusion about what a specific word means in this agreement (like "Company Device"), it means what we've defined it as.
7. By Using It, You Agree: When you start using the Company Device, you're basically giving us your word that you've read, understand, and agree to follow all these rules.
8. You Promise: You promise that you have the right to agree to these terms and that you'll use the device legally and properly, following all rules and laws.
9. Rules of the Road (What You Can & Can't Do):
- No Bad Stuff: Don't use the device for anything illegal, mean, or harmful. That includes things like hacking, sending spam, looking at inappropriate content, or trying to break into other systems.
- Play By the Rules: Always use the device according to all laws and any other company policies we share with you.
- No Tampering: Don't try to mess with the device's software or settings beyond what's allowed.
- Be Smart with Networks: Don't use the device to do things like illegal downloading or accessing sketchy websites that could put our company at risk.
10. Our Software, Our Rules: Any software we put on the device is licensed to us. You can only use it for your work with us and according to its own rules (those "End-User License Agreements" you sometimes click "agree" on).
11. Keep It Up-to-Date: When we send updates or security fixes to the device, please install them promptly. It helps keep everything safe and running smoothly. Tell us if the device isn't working right!
12. Your Personal Data on the Device: Remember, if you choose to store any personal photos, documents, or other data on the Company Device, that's entirely your responsibility. We're not responsible for backing it up, and it could be deleted if we wipe the device.
13. Tell Us About Security Troubles: If you suspect or know about any security problems with the device – like if it's lost, stolen, or someone's trying to get into it without permission – tell us IMMEDIATELY! We'll need your help to figure out what happened.
14. We're Not Responsible For Everything: We provide the device as-is. We can't promise it will never have problems, or that you'll never lose data. We're generally not responsible for any big, unexpected problems or data loss you might experience from using the device.
15. If You Cause Trouble, You Cover Us: If you do something wrong with the device, break these rules, or cause us legal trouble because of your actions, you agree to protect us and cover any costs or damages we might face (like legal fees).
16. When This Agreement Ends: If our main agreement ends for any reason, or if you break any of these rules about the device or your Affiliate membership, we can stop your access to the device and ask for it back right away.
17. The Rules of the Game (Where Disputes are Handled): This agreement will be governed by the laws of Arizona. If there's ever a legal disagreement, we'll handle it in the courts located in Maricopa County, Arizona.
18. If One Part Breaks, The Rest Stands: If for some crazy reason a court says one part of this agreement isn't valid, the rest of the agreement still holds up.
19. This Is The Whole Deal: This document (and our main affiliate agreement) is the complete understanding between us about the device. Nothing said before this counts.
20. Changing Our Minds: We can only change these terms if both of us agree in writing and sign off on it.
21. How We'll Talk: If we need to send you any official notices, we'll use the contact info you've given us.
